# Wintty Paid Editions - End User License Agreement Licensor: Ship Digital Ltd, a company registered in England and Wales, company number 11913396, whose registered office is at Lytchett House, 13 Freeland Park, Wareham Road, Poole, Dorset, BH16 6FA ("Ship Digital", "we", "us", "our"). Effective date: 2026-08-27. Version: 1.1. This Agreement was prepared in house by Ship Digital and has not yet been reviewed by a qualified solicitor. --- ## 1. Introduction and acceptance 1.1 This End User License Agreement (this "Agreement") is a legal agreement between you ("you", "your", the "Licensee") and Ship Digital. It governs your use of the paid editions of the Wintty terminal application and their proprietary components, as defined below (together, the "Paid Editions"). 1.2 You accept this Agreement when you first authenticate, activate, install, or use a Paid Edition, whichever happens first. If you do not agree to this Agreement, do not authenticate, activate, install, or use the Paid Editions. 1.3 If you are entering into this Agreement on behalf of an organisation, you represent that you have authority to bind that organisation, and "you" refers to that organisation. Use by an organisation requires an Enterprise Edition license under section 8. ## 2. Definitions 2.1 "Software" means the Wintty terminal application in any edition. 2.2 "Paid Editions" means the editions of the Software distributed by Ship Digital in pre-built, signed, self-updating form to entitled sponsors and customers, namely the Sponsor, Pro (Desktop), Pro (Enterprise), and Pro (Legacy) editions, and any successor or additional paid edition. 2.3 "Proprietary Components" means the parts of the Paid Editions that are owned by or licensed to Ship Digital and are not made available under an open-source license, including without limitation closed-source features, the update and entitlement system, and edition-specific functionality. 2.4 "Open-Source Components" means the parts of the Software that are made available under their respective open-source licenses, including the upstream components from which the Software is derived. 2.5 "Entitlement" means an active right to use a Paid Edition, granted through an eligible sponsorship or purchase and, for Enterprise Editions, under an order form or purchase terms. An Offline Activation records an Enterprise Entitlement and is how the Software recognises it; it is not itself the grant, and its expiry does not by itself end an Enterprise Entitlement (see section 8). 2.6 "Account" means the identity you authenticate with (for example, your GitHub account) that Ship Digital uses to verify your Entitlement. 2.7 "Fair Use" has the meaning given in section 5. 2.8 "Offline Activation" means the signed activation data that Ship Digital issues to an Enterprise customer and that the Software verifies on the device without contacting Ship Digital. It is supplied as a signed activation file, installed on the device or delivered through Group Policy or another administrative deployment mechanism, and Ship Digital may change the form in which it is supplied. ## 3. Relationship to Open-Source Components 3.1 The Software includes Open-Source Components that remain governed by their own licenses. Nothing in this Agreement removes, limits, or replaces any right granted to you under those open-source licenses in respect of the Open-Source Components. 3.2 This Agreement governs only the Proprietary Components and your use of the Paid Editions as distributed by Ship Digital. Where a conflict exists between this Agreement and an applicable open-source license as to an Open-Source Component, the open-source license controls for that component. 3.3 The publicly available open-source edition of the Software is not a Paid Edition and is not governed by this Agreement. ## 4. License grant 4.1 Subject to your continuing compliance with this Agreement and to a valid Entitlement, Ship Digital grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the Paid Edition for which you are entitled, for your own use, in accordance with Fair Use. 4.2 The license is granted, not sold. Ship Digital and its licensors retain all right, title, and interest in and to the Proprietary Components. 4.3 The license is personal to you. Except as expressly permitted in this Agreement, you may not assign, transfer, rent, lease, lend, sell, or otherwise make the license or the Paid Editions available to any other person. ## 5. Fair Use and one license per person 5.1 A Paid Edition license (other than an Enterprise Edition license) is issued to one natural person. One license authorises use by that one person only. 5.2 Fair Use means installing and using the Paid Edition on the devices that you personally own or control, for your own use as a single individual. You may install on more than one of your own devices, provided that you remain the only person who uses the Paid Edition under your license. 5.3 The following are outside Fair Use and are not permitted under a personal license: (a) sharing, disclosing, or transferring your Account credentials, authentication tokens, activation data, or license to any other person; (b) enabling or allowing any other person to use the Paid Edition under your license or Entitlement; (c) concurrent or serial use of your license by more than one person; and (d) use by or on behalf of an organisation, or deployment across a fleet, which requires an Enterprise Edition license under section 8. ## 6. Restrictions 6.1 Except as expressly permitted by this Agreement, by an applicable open-source license, or by mandatory applicable law, you must not: (a) redistribute, publish, upload, or otherwise make available the Paid Editions or any Proprietary Component to any other person; (b) circumvent, disable, or interfere with the authentication, activation, entitlement, update, or license-enforcement mechanisms of the Software; (c) remove, obscure, or alter any proprietary notice, mark, or attribution in the Paid Editions; (d) use the Paid Editions to develop a competing product by copying the Proprietary Components; or (e) reverse engineer, decompile, or disassemble the Proprietary Components. 6.2 For the avoidance of doubt, section 6.1 does not restrict any act permitted under an applicable open-source license in respect of an Open-Source Component. 6.3 Nothing in section 6.1, and nothing else in this Agreement, restricts any act you are entitled to carry out under sections 50A, 50B, and 50BA of the Copyright, Designs and Patents Act 1988, under Articles 5 and 6 of Directive 2009/24/EC, or under any other mandatory applicable law. Those rights are yours whether or not this Agreement mentions them, and they are not conditional on anything in this Agreement, including anything in section 6.4. 6.4 If you need interoperability information about the Proprietary Components, we ask you to request it from us at support@ship.digital before decompiling to obtain it, because we can usually supply it more quickly than you can derive it. This is a request and not a condition, and it does not limit section 6.3. ## 7. Accounts, authentication, and activation 7.1 Use of a Paid Edition requires you to authenticate and activate so that Ship Digital can verify your Entitlement. You are responsible for maintaining the confidentiality of your Account and any activation data, and for all use under your Account and Entitlement. 7.2 After first launch, a Paid Edition provides a short initial grace period during which it may be used before authentication is required. After that grace period, continued use requires successful activation. 7.3 Once a device has been activated, the Paid Edition can be used on that device offline. Your sign-in lasts 30 days, and the Software renews it in the background whenever it can reach our services. If the device has not reached our services for 30 days, the Software shows a dismissible reminder and keeps working. If your sign-in then lapses while the device is still offline, the next time you start the Paid Edition you will be asked to sign in again before you can continue using it. Enterprise Editions may be activated offline as described in section 8. 7.4 You must not attempt to activate more identities, seats, or devices than your Entitlement permits, or use another person's Account, credentials, tokens, or activation data. ## 8. Enterprise Editions and seats 8.1 Enterprise Editions are licensed to an organisation on a per-seat basis under a separate order form or purchase terms, and may be activated using an Offline Activation supplied by Ship Digital. 8.2 The organisation is responsible for ensuring that the number of individuals using the Enterprise Edition does not exceed the number of seats purchased, and for the acts and omissions of its users. 8.3 An Offline Activation is confidential to the licensed organisation and is licensed only for the organisation and seat count to which it is issued. It must not be shared outside the licensed organisation. 8.4 An Enterprise Entitlement runs for the term stated in the order form, which is one year unless the order form says otherwise. An Offline Activation carries an expiry date, and renewal takes the form of Ship Digital issuing a replacement Offline Activation for the next term. An Enterprise Entitlement is not perpetual. 8.5 An Offline Activation that is missing, invalid, or expired does not block use of the Enterprise Edition. The Software may display a notice asking an administrator to install or renew one. Seat compliance under section 8.2 and the restriction in section 8.3 are contractual obligations rather than technical controls. ## 9. Updates and support 9.1 While your Entitlement is active, you may receive updates to your Paid Edition through the Software's update system. Updates are provided at Ship Digital's discretion and may add, change, or remove features. 9.2 If your Entitlement lapses, ends, or is revoked, you will stop receiving updates, and you will lose access to the Paid Edition itself: once your sign-in can no longer be renewed, the Software asks you to sign in again before you can continue using the Paid Edition. Section 12 sets out what happens on suspension or revocation. Your rights in respect of the Open-Source Components, and the publicly available open-source edition of the Software, are not affected. 9.3 Support, if any, is provided as described at the time of sponsorship or purchase. You can contact us at support@ship.digital. ## 10. Fees, billing, and refunds 10.1 Entitlements for Sponsor and Pro editions are obtained through GitHub Sponsors, subject to GitHub's own terms. Enterprise Entitlements are obtained under a separate order form or purchase terms. 10.2 Payments made through GitHub Sponsors are not refundable natively through that platform. This does not affect any statutory rights you may have (see sections 11 and 17). 10.3 If a refund is due, whether under this Agreement, under your statutory rights, or as a goodwill matter, please contact us at support@ship.digital and we will arrange it directly, since GitHub Sponsors does not support refunds natively. Refunds arranged in this way may be made by a payment method other than GitHub Sponsors. ## 11. Right to cancel (consumers) 11.1 If you are a consumer in the United Kingdom or the European Union, you may have a statutory right to cancel a purchase of digital content within a cooling-off period. Where digital content is supplied immediately, this right may not apply if you have expressly requested immediate supply and acknowledged that you will lose the right to cancel once supply has begun. 11.2 To exercise any right to cancel, or to ask about it, contact us at support@ship.digital. ## 12. Suspension, revocation, and termination 12.1 This Agreement and your license continue while you have a valid Entitlement and comply with this Agreement. 12.2 Ship Digital may suspend or revoke your license and Entitlement if it reasonably determines that you have breached this Agreement, including a breach of Fair Use or the restrictions in section 6 (for example, sharing your license, credentials, tokens, or activation data, or enabling use by others). 12.3 Where Ship Digital suspends or revokes a license under section 12.2, the Software may display a notice to that effect. If a refund is due in connection with a suspension or revocation, it will be arranged as described in section 10.3. If you believe a suspension or revocation is a mistake, you may contact us at support@ship.digital and we will review it. 12.4 You may stop using the Paid Editions at any time. On termination or revocation for any reason, the rights granted to you under this Agreement in respect of the Proprietary Components end, and you must stop using the Paid Editions. Your rights in respect of the Open-Source Components under their open-source licenses are not affected. 12.5 Sections that by their nature should survive termination (including sections 2, 3, 6, 10, 13, 14, 15, 16, 17, 19, and 20) survive. ## 13. Privacy and data 13.1 To verify Entitlements, deliver updates, enforce this Agreement, and detect and prevent abuse (including license sharing), Ship Digital processes limited personal data, which may include your Account identifier, edition and channel, update and download activity, authentication events, and network address information associated with those events. 13.2 We rely on two lawful bases for the processing described in section 13.1. Verifying your Entitlement, serving you the right download, delivering updates, and recording the access you bought are necessary in order to perform this Agreement with you. Detecting and preventing abuse of the licensing system, including license sharing, rests on our legitimate interests in protecting that system. We describe this processing, including how long we keep each kind of record and your rights, in our privacy notice at https://wintty.io/privacy. 13.3 We publish a privacy notice. You can ask us for that information at support@ship.digital, and you can exercise your data-protection rights at the same address, including your right to object to processing carried out on the basis of our legitimate interests. ## 14. Intellectual property 14.1 The Proprietary Components, and all intellectual property rights in them, are and remain the property of Ship Digital and its licensors. No rights are granted to you except as expressly set out in this Agreement. ## 15. Disclaimer of warranties 15.1 Except as required by mandatory applicable law and without limiting your statutory rights under section 17, the Paid Editions are provided "as is" and "as available", and Ship Digital disclaims all warranties, whether express or implied, including any implied warranties of satisfactory quality, fitness for a particular purpose, and non-infringement. ## 16. Limitation of liability 16.1 Nothing in this Agreement limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, or for fraud. 16.2 Subject to section 16.1, Ship Digital is not liable for any indirect or consequential loss, or for loss of profits, revenue, data, or goodwill, arising out of or in connection with this Agreement or the Paid Editions. 16.3 Subject to section 16.1, Ship Digital's total aggregate liability arising out of or in connection with this Agreement is limited to the amount you paid for the relevant Entitlement in the twelve months before the event giving rise to the liability. ## 17. Your statutory rights 17.1 If you are a consumer, you have statutory rights that this Agreement does not exclude or limit, including, in the United Kingdom, rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations, and equivalent rights in the European Union. Where this Agreement conflicts with those rights, those rights prevail. ## 18. Changes to these terms 18.1 Ship Digital may update this Agreement from time to time. Where a change materially affects your rights, Ship Digital will take reasonable steps to notify you, for example in the app or by the contact details associated with your Account. Your continued use of the Paid Editions after a change takes effect constitutes acceptance of the updated Agreement, save that changes do not apply retroactively to a dispute already arisen. ## 19. Governing law and jurisdiction 19.1 This Agreement is governed by the laws of England and Wales, and the courts of England and Wales have jurisdiction, save that if you are a consumer resident elsewhere, you retain the benefit of any mandatory consumer-protection provisions of the law of your place of residence and the right to bring proceedings there where the law so provides. ## 20.
